Terms and Conditions
Non-Disclosure Agreement (NDA)
By joining, accessing, or continuing to participate in the “Trading with the RustyRod” Discord server — including but not limited to: (i) clicking the acknowledgment checkmark within the “Terms-and-conditions” channel; (ii) submitting payment via the LaunchPass platform; and/or (iii) accepting terms through the MEE6 verification bot — you expressly acknowledge and agree that you have read, understood, and are legally bound by these Terms and Conditions, including the Non-Disclosure Agreement and Non-Compete Agreement incorporated herein by reference.
This Non-Disclosure Agreement ("Agreement") is entered into by and between:
Disclosing Party: RustyRod Holdings Inc. ("Disclosing Party").
Receiving Party: Any current or former Member of the “Trading with the RustyRod” Discord Server ("Receiving Party").
The Disclosing Party has requested, and the Receiving Party has agreed, to protect any confidential material and information that the Disclosing Party may share. Therefore, the parties agree as follows:
1. Purpose The Disclosing Party owns proprietary information, including but not limited to charts, methodologies, strategies, designs, and other materials shared within the Disclosing Party's Discord Server “Trading with the RustyRod” ("Confidential Information"). The Receiving Party desires access to the Confidential Information for the purpose of education, collaboration, for the Receiving Party to apply to their individual trading accounts, and financially profiting from the education that is shared in the “Trading with the RustyRod” Discord Server which is not to be shared with anyone other than thyself, and the Disclosing Party agrees to provide such access under the terms set forth in this Agreement.
2. Definition of Confidential InformationConfidential Information refers to all non-public, proprietary, or sensitive information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, electronic, or other forms. Confidential Information includes, but is not limited to:
· Proprietary charts and data shared within the “Trading with the RustyRod” Discord Server community.
· Chart set ups, strategies, studies and indicators that are shared and updated via the “Trading with the RustyRod” Discord Server and the Thinkorswim Platform, Charles Schwab.
· ATM Strategies shared in the “Trading with the RustyRod” Discord Server by any member of the “Trading with the RustyRod” Discord Server or the Disclosing Party.
· Daily key levels and ranges shared in any of the “Trading with the RustyRod” Discord Server channels by any member of the “Trading with the RustyRod” Discord Server or the Disclosing Party.
· Strategies, methodologies, and tools developed by the Disclosing Party.
· Discussions, messages, and shared files within the “Trading with the RustyRod” Discord Server community.
· Any other information designated as "confidential" or that reasonably should be understood as confidential due to its nature.
2.1 Access Restrictions Upon Membership Termination Upon cancellation, termination, or expiration of a member’s access to the “Trading with the RustyRod” Discord server—whether voluntary or involuntary—the Receiving Party shall immediately forfeit all rights to receive updates, chart updates, chart analyses, strategies, key levels, or any other proprietary or educational content.
Such materials are strictly reserved for current, active, and paying members. Any attempt by a former member to access, solicit, share, or utilize these materials shall constitute a material breach of this Agreement and may result in legal action under the provisions outlined in the Non-Disclosure and Non-Compete Agreements, including but not limited to injunctive relief and monetary damages.
3. Exclusions from Confidential InformationConfidential Information does not include information that:
· Becomes publicly available without breach of this Agreement by the Receiving Party.
· Is disclosed to the Receiving Party by a third party legally entitled to make such disclosure.
· Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.
4. Obligations of the Receiving Party the Receiving Party agrees to:
· Maintain the confidentiality of the Confidential Information and not disclose it to any third party without the prior written consent of the Disclosing Party.
· Use the Confidential Information solely for the Purpose stated in this Agreement.
· Take all reasonable measures to protect the Confidential Information, including securing access to any digital or physical copies.
· Promptly notify the Disclosing Party of any unauthorized use or disclosure of Confidential Information.
Protection of Confidential Information. The Receiving Party understands and acknowledges that the Confidential Information has been developed or obtained by the Disclosing Party by the investment of significant time, effort, and expense, and that the Confidential Information is a valuable, special and unique asset of the Disclosing Party which provides the Disclosing Party with a significant and competitive advantage and needs to be protected from improper disclosure. In exchange for receiving the Confidential information, the Receiving Party agrees as follows:
(a) No Disclosure. The Receiving Party will hold the Confidential Information in confidence and will not disclose the Confidential Information to any person or entity without the prior written consent of the Disclosing Party.
(b) No Copying/Modifying. The Receiving Party will not copy or modify any Confidential Information without the prior written consent of the Disclosing Party.
(c) Unauthorized Use. The Receiving Party shall promptly advise the Disclosing Party if the Receiving Party becomes aware of any possible unauthorized disclosure or use of the Confidential Information.
5. Return or Destruction of Materials Upon termination of this Agreement or at the request of the Disclosing Party, the Receiving Party shall immediately:
· Return all copies of the Confidential Information to the Disclosing Party.
· Destroy all digital and physical copies of the Confidential Information and certify such destruction to the Disclosing Party in writing.
6. Term and Termination This Agreement shall remain in effect indefinitely. The obligations of confidentiality shall survive the termination of this Agreement. Upon termination of this Agreement, whether terminated early or at fulfillment of the term duration of this Agreement, the Recipient must continue to protect the Confidential Information that was received during the term of this Agreement from unauthorized use or disclosure indefinitely.
7. Remedies The Receiving Party acknowledges that unauthorized use, disclosure of the Confidential Information or putting the Confidential Information at risk of being disclosed would cause irreparable harm to the Disclosing Party, for which monetary damages may not be sufficient. Therefore, the Disclosing Party shall be entitled to seek injunctive relief and any other remedies available at law or in equity.
8. Non-Circumvention. The Receiving Party will not attempt to message other members of the “Trading with the RustyRod” Discord server for the purpose of doing business with the Disclosing Party’s confidential information, or otherwise solicit any contacts found or otherwise referred by the Disclosing Party’s “Trading with the RustyRod” Discord Server channels for the purpose of circumventing, the result for which shall be to prevent the Disclosing Party from realizing or recognizing a profit, fees, or otherwise, without the specific written approval of the Disclosing party. If such circumvention shall occur, the Disclosing Party shall be entitled to any commissions due pursuant to this Agreement or relating to such transaction.
9. Limited License to Use. The Receiving party shall not acquire any intellectual property rights under this Agreement except the limited right to use as set forth above. The Receiving Party acknowledges that, as between the Disclosing Party and the Receiving Party, the Confidential Information and all related copyrights and other intellectual property rights are (and at all times will be) the property of the Disclosing Party, even if suggestions, comments, and/or ideas made by the Receiving Party are incorporated into the Confidential Information or related materials during the period of this Agreement.
10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
11. Entire Agreement This Agreement constitutes the entire understanding between the parties regarding its subject matter and supersedes all prior agreements, discussions, or understandings, whether written or oral.
12. Severability If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Common provisions
13. No Waiver
The Disclosing Party’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.
14. Service interruption
To ensure the best possible service level, the Disclosing Party reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing the Users/ the Receiving Party appropriately.
Within the limits of law, the Disclosing Party may also decide to suspend or terminate the Service altogether. If the Service is terminated, the Disclosing Party will cooperate with Users / the Receiving Party to enable them to withdraw Personal Data or information in accordance with applicable law.
Additionally, the Service may become unavailable due to events outside the Disclosing Party’s reasonable control, such as “force majeure” (e.g. labor actions, infrastructural breakdowns or blackouts etc.).
15. Third-Party Platform Terms This server operates on the Discord platform. By using this server, you are also subject to Discord’s Terms of Service and Discord’s Privacy Policy. We do not control these policies, and you agree to comply with them in addition to the terms outlined here.
16. Service reselling
The Receiving Party may not reproduce, duplicate, copy, sell, resell or exploit any portion of this server and of its Service without the Disclosing Party’s express prior written permission, granted either directly or through a legitimate reselling program.
17. Intellectual property rights
Without prejudice to any more specific provision of these Terms, any intellectual property rights, such as copyrights, trademark rights, patent rights and design rights related to this server are the exclusive property of the Disclosing Party or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property.
All trademarks — nominal or figurative — and all other marks, trade names, service marks, word marks, illustrations, images, or logos appearing in connection with this server are, and remain, the exclusive property of the Disclosing Party or its licensors and are subject to the protection granted by applicable laws or international treaties related to intellectual property.
Non-Compete Agreement
Disclosing Party: RustyRod Holdings Inc. and “Trading with the RustyRod” Discord Server ("Disclosing Party").
Receiving Party: Any current or former member of the “Trading with the RustyRod” Discord Server ("Receiving Party").
1. Purpose In consideration of access to Confidential and proprietary information, trade secrets, and other sensitive materials through their engagement with the Disclosing Party. To protect these interests, the Receiving Party agrees to the terms of this Non-Compete Agreement.
2. Non-Compete Obligation For a period of 5 years following the termination of this Agreement, the Receiving Party agrees not to:
· Directly or indirectly engage in, own, manage, operate, or participate in any business or entity that competes with the Disclosing Party in finance and financial education.
· Solicit, divert, or take away any customers, clients, members of the “Trading with the RustyRod” Discord Server or business opportunities of the Disclosing Party.
· Recruit, solicit, or hire any employee, contractor, server moderator, or consultant of the Disclosing Party.
3. Online Activity Clause:
The Receiving Party agrees that, for a period of 5 years following the termination of their relationship with the Disclosing Party, they shall not, directly or indirectly, engage in any business or commercial activity that competes with the Disclosing Party’s products, services, or proprietary systems, including but not limited to:
Creating, marketing, distributing, or selling any product or system substantially similar to the Disclosing Party’s trading system;
Offering training, coaching, or consulting services based on, derived from, or using the Disclosing Party’s Trading System or any of its components;
Publishing or promoting content related to the system via websites, blogs, social media platforms, email marketing, online courses, or other internet-based platforms;
Operating or contributing to any online business that uses, imitates, or rebrands the proprietary system developed by the Disclosing Party.
This non-compete shall apply anywhere the receiving party offers or promotes the Disclosing Partys’ system, including any activities conducted through the internet, digital platforms, or e-commerce channels, regardless of geographic location.
4. Confidentiality. The Receiving Party acknowledges that this Non-Compete Agreement is in addition to any confidentiality obligations they have under a separate Non-Disclosure Agreement.
5. Exceptions The restrictions in this Agreement shall not apply if:
· The Receiving Party obtains prior written consent from the Disclosing Party.
· The Receiving Party is acting within a capacity or role that does not compete with the Disclosing Party’s business interests.
6. Remedies The Receiving Party acknowledges that a breach of this Agreement would cause irreparable harm to the Disclosing Party, and the Disclosing Party shall be entitled to seek injunctive relief and other remedies at law or in equity.
7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, USA without regard to its conflict of laws principles.
8. Venue and Jurisdiction Clause Venue and Jurisdiction. The parties agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Montgomery County, Texas, and each party hereby irrevocably consents to the personal jurisdiction and venue of such courts.
9. Internet-Based Activity Clause Internet-Based Activity. The parties acknowledge that the activities covered by this Agreement, including any prohibited competition or use of proprietary systems, may occur over the internet. Regardless of the user’s location or the medium of access, all such internet-based activities shall be deemed to occur within the State of Texas and shall be subject to its laws and this Agreement’s jurisdiction provisions.
10. Severability If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11. Relation to Non-Circumvention: The Receiving Party acknowledges and agrees that the obligations set forth in this Non-Compete Agreement are in addition to, and shall be read in conjunction with, the Non-Circumvention provisions described in Section 8 of the Terms and Conditions. Any act that violates either clause shall be considered a material breach of both provisions.
12. Entire Agreement. This Agreement constitutes the entire understanding between the parties regarding its subject matter and supersedes all prior agreements, discussions, or understandings, whether written or oral.
Changes to these Terms
By joining and continuing to participate in the “Trading with the RustyRod” Discord server, by clicking the checkmark in the “Trading with the RustyRod” discord server channel called Terms-and-conditions, and by clicking the pay button on the LaunchPass platform, as well as clicking the “Submit” button via our server’s verification bot, you acknowledge your acceptance of all terms outlined in this document and understand that continued access to the server is contingent on compliance with these terms. Proof of assent is logged and retained by the Disclosing Party for legal purposes. Breaches of these terms will be addressed in accordance with the Remedies provisions outlined in Sections 7 of the NDA and 6 of the Non-Compete Agreement, which may include injunctive relief and legal action.
We reserve the right to amend and / or change these terms and conditions without notice at any time. The Receiving Party will be notified when updates are made to the Terms and Conditions, via the “important-stuff” Channel in the “Trading with the RustyRod” Discord Server.
